Eaton Vance Fills Board Vacancy

Winthrop H. Smith, Jr. was elected to the corporate board of Eaton Vance, the investment management firm announced Friday.

Smith replaces retired board director John M. Nelson, who left in January after holding the position from January 1998 to January 2004. Nelson was chairman of the board's Governance Committee and a member of the Compensation, Option and Nominating Committees.

Smith has not yet been assigned to any board committees, said William Steul, chief financial officer. Steul added that directors are typically assigned to committees after serving as a director for a period of time.

The board has not named a new chairman for the Governance Committee, but will do so shortly, said Steul.

Smith is chairman and the founder of WHS Holdings, a privately-owned investment firm. Prior to founding WHS, Smith worked at Merrill Lynch on the company's executive committee, as president of the international private client group, as executive vice president of Merrill Lynch & Co., and as chairman of Merrill Lynch International.

Eaton Vance managed $83.6 billion in assets as of January 31, 2004.
